Urbanimmersive completes acquisition of Canadian business journal HomeVisit

OCTOBER 21, 2022 ST. HUBERT, Quebec (GLOBE NEWSWIRE) — Urbanimmersive Inc. (“Urbanimmersive”, “Company” or “UI”) (TSX VENTURE (“TSXV”): UI) (OTCQB: UBMRF) We are pleased to inform you that we have completed the acquisition of all the interests of the real estate photography agency. HOMEVISIT, LLC (“home visit”) from CoreLogic Solutions, LLC (“core logic) for a purchase price of C$9 million, subject to customary adjustments, 1) to issue 9,287,707 shares of our common stock at a price of $0.25 per share for a value of $2.32 million and 2) a five-year secured promissory note. (“Note”) $6.43 million principal amount of purchase price adjusted balance capitalized in Notes bearing interest of 7.50% per annum. All issued shares are subject to a minimum holding period of four months.
