VANCOUVER, BRITISH COLUMBIA, Oct. 20, 2022 (GLOBE NEWSWIRE) — Peter Wall of 1010 Burrard Street, Vancouver, British Columbia V6Z 2R9 today announced that he has agreed to acquire indirect ownership of 6,500,000 shares. did (“common stockWall Financial Corporation (“wall financial), 1010 Burrard Street, Vancouver, British Columbia V6Z 2R9, with a purchase price per common share of CDN$9.963 and an aggregate purchase price of CDN$64,756,906.65. The acquisition is expected to close around November 11, 2022. Prior to the acquisition, Mr. Wall managed or directed 6,500,000 shares of his common stock. The acquisition will not result in an increase in the total number of outstanding shares of common stock owned or controlled by Mr. Wall. Mr. Wall continues to own, directly or indirectly, or exercise control or direction of 17,927,762 shares of common stock. Since the filing of the last early warning report, Mr. Wall’s ownership percentage has increased by 2.07% as a result of the issuer’s actions, resulting in a decrease in Wall Financial’s securities outstanding. Mr. Wall indirectly acquires ownership of 6,500,000 shares of common stock through a private transaction conducted in reliance on the private agreement exemption set forth in Section 4.2 of National Instrument 62-104. Takeover Bid and Issuer BidMr. Wall’s acquisition is being made for investment purposes.
